Terms of Service

BomaPulse Ventures provides a digital property management and rent-collection platform designed for the Kenyan market. Our Service enables landlords and property managers to: • List and manage properties and units • Onboard tenants • Generate invoices and send payment reminders • Initiate M-Pesa STK Push and bank-supported payments • Maintain digital payment records and reports • Offer tenants a self-service portal Important: BomaPulse does not hold, process, custody, or settle any tenant payments. When a tenant pays via M-Pesa STK Push or supported bank channels, the funds go directly to the landlord's designated M-Pesa or bank account. We provide only the infrastructure for payment initiation, reconciliation, record-keeping, and communication.

You must be at least 18 years old and legally able to enter into binding contracts under Kenyan law to use the Service. You agree to: • Provide accurate, complete, and up-to-date information during registration • Keep your login credentials confidential • Notify us immediately of any unauthorised access • Be responsible for all activity under your account We may refuse, suspend, or terminate accounts that provide false information or violate these Terms.

Landlords / Property Managers

You remain fully responsible for your properties, lease agreements, rent amounts, payment schedules, and relationships with tenants. You must ensure you have the legal right to collect rent and manage the properties listed. You set the destination accounts for payments. BomaPulse does not control or guarantee receipt of funds beyond facilitating the payment request. You are responsible for complying with all applicable Kenyan laws, including tax obligations, landlord-tenant laws, and data protection requirements regarding your tenants.

Tenants

You may access the tenant portal to view bills, make payments, and download receipts. Payment confirmation depends on successful processing by M-Pesa or the relevant bank. BomaPulse is not responsible for failed, delayed, or incomplete payments caused by third-party systems or insufficient funds. You remain bound by the terms of your lease agreement with the landlord.

Tenant payments are processed directly to the landlord's chosen account via M-Pesa STK Push or supported banks. We do not take custody of funds at any point. Any platform subscription or service fees charged by BomaPulse (if applicable) will be clearly disclosed before you incur them. Digital records, invoices, and receipts generated by the Service are provided for convenience. They do not replace formal legal or accounting documentation you may be required to maintain. Partial payments, cash payments recorded manually, or disputes between landlord and tenant are the responsibility of the parties involved. BomaPulse provides tools to record and track such events but does not adjudicate disputes.

You agree not to: • Use the Service for any unlawful purpose • Upload false, misleading, or infringing content • Attempt to gain unauthorised access to the platform, other accounts, or systems • Interfere with or disrupt the Service • Use the Service to harass, defraud, or harm others • Reverse-engineer, scrape, or copy the platform beyond normal use • Circumvent any security or access controls We reserve the right to investigate and take appropriate action, including suspension or termination, for violations.

The Service, including its software, design, logos, text, and content (excluding user-generated content), is owned by BomaPulse Ventures or its licensors and is protected by Kenyan and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from our materials without prior written permission. You retain ownership of the data you upload (property details, tenant information, etc.). By using the Service, you grant us a limited licence to process that data solely to provide and improve the Service.

Your use of the Service is also governed by our Privacy Policy (available at https://www.makazidash.com/privacy-policy). We process personal data in accordance with the Kenya Data Protection Act, 2019.

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE'. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOMAPULSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee: • Uninterrupted or error-free service • That payments will always succeed (this depends on M-Pesa, banks, and network availability) • The accuracy of third-party systems • That the Service will meet every specific requirement you may have BomaPulse is a technology platform only. We are not a bank, payment service provider that holds funds, law firm, or property management company acting on your behalf in a fiduciary capacity.

To the maximum extent permitted by Kenyan law, BomaPulse and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service shall not exceed the amount of fees (if any) you paid to us in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Kenyan law.

You agree to indemnify and hold harmless BomaPulse from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any law or third-party rights • Disputes between landlords and tenants

You may stop using the Service and request account deletion at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases. We will handle your data in accordance with our Privacy Policy and applicable law. Transaction records may be retained as required for legal or regulatory purposes.

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on the platform at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved amicably. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the courts of Kenya.

• If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. • These Terms constitute the entire agreement between you and BomaPulse regarding the Service and supersede any prior agreements. • Our failure to enforce any right does not waive that right. • You may not assign your rights under these Terms without our prior written consent.
